1. Our Project Terms

1.1. Quote Terms

All estimates and quotes are strictly based on our understanding of your requirements and the provided timeframe. Any changes to the functionality, including micro-improvements, may incur additional costs accordingly.

Please ensure and clarify our mutual understanding during a face-to-face meeting or via a conference call. By accepting a quote, you agree to and accept the Terms and Conditions of GoForFlex. Acceptance can be verbal, by email, through the payment of an initiation fee, or by signing a quote.

Clients must ensure that we have included all of their requirements in the quotes, proposals, or estimates, and that we fully understand their needs. Clients must provide us with clear guidelines along with the user flow or specific details they may require. When such details are not provided, we will proceed based on our own understanding of the requirements and quote accordingly.

Domain registration, renewal, and similar charges are not included as part of any project or proposal unless explicitly mentioned otherwise. If required, a separate quote for these services will be submitted for client approval. Hosting charges are also excluded from quotations unless stated otherwise.

1.2. Change Management

If a discrepancy arises at a later stage, it may lead to additional costs to accommodate the necessary changes. Therefore, it is essential that you clarify every aspect of your website development and ensure that you have been quoted based on the correct requirements.

Any complexity related to specific tasks must be advised in advance and included in the proposal for costing purposes. We operate in good faith and rely on our clients to disclose the full picture at the time of quotation. Any discrepancy arising due to unclear or unmapped requirements will not be financially borne by GoForFlex.

There are limited man-hours allocated to each task, including Project Management and Digital Strategy / Business Analysis. Minor changes may be included within these allocated hours, which will be analyzed on a case-by-case basis. GoForFlex will make every effort to complete the project or changes within the given timeframe. Reasonable delays are accepted if functionalities are redefined or modified by the client.

1.3. Liability Terms

Any delays on the client’s side may delay the overall project and proposed timeframes, and may incur additional costs. Conversely, any bugs (programming errors) reported during or immediately after development do not attract additional charges.

Any re-work on an already completed and approved task will attract additional charges. Similarly, any changes made to the design after formal design approval, or any modifications requested during development or after Go-Live approval, will incur additional charges. All additional work over and above the initial estimates is billed separately.

Under no circumstances will GoForFlex be liable for any delays caused by a change in the project brief. Website/application content and all related materials must be provided to us within the first two weeks of starting the project. Any delays thereafter may stall the project and incur additional charges if the delay extends beyond a reasonable timeframe.

Our websites and applications are generally tested on PCs and include recent versions of the following browsers: Microsoft Edge, Firefox, Chrome, and Safari. If you require testing to be done on any other browser, please let us know in advance.
Responsive and multi-device compatible web pages are tested on Android smartphones, Android tablets, iPhones, and iPads. If you require testing on any other specific device, please discuss it with us in advance.

If your website or application is not hosted on a GoForFlex hosting infrastructure, any additional man-hours required due to server, hosting, or network-related issues are not covered in our initial quotes and will be charged separately.

1.4 Project Liability Terms

Please note that at any stage during the project, stalling or pausing the project for over two calendar months due to client inactivity or delay will incur an administrative cost of 99€ per week. Furthermore, this may increase the previously approved estimates when work resumes. If you require the project to be put on hold, please advise us in writing in advance. To pause a project without incurring additional charges, the client’s account must be fully up to date based on the work already completed.

GoForFlex software codes (excluding open-source software) remain the exclusive copyright of GoForFlex. The proprietary codes can be handed over to the client at an additional cost once all outstanding invoices are fully settled, on the condition that the codes are used solely for operation or modification for re-use within that specific client’s legal entity. Under no circumstances are these codes allowed to be re-sold, duplicated, or distributed to third parties.

GoForFlex takes no responsibility for open-source products such as WordPress. It is the client’s sole responsibility to update all core components, plugins, and third-party software if they have not opted for GoForFlex maintenance services. We strongly suggest taking regular independent backups to avoid any data loss or service disruptions.

GoForFlex offers packages in coordination with third-party providers. GoForFlex cannot be held liable for any service disruptions, functionality losses, or additional costs arising from changes to third-party providers’ rules, pricing, terms of service, or technical compatibility.

2. Payment Terms

Upon quote acceptance and sign-off, an initiation payment is required to start the project. Depending on project requirements, we may hold a Scoping Workshop to discuss the specifications and details in depth.

Notwithstanding any other provision in this agreement, and in consideration of the Customer entering into this agreement with GoForFlex, upon full payment of all outstanding invoices, GoForFlex will grant an unconditional license to the Customer to reproduce, publish, communicate, use, exploit, vary, or otherwise deal with: 1) the graphics, 2) the text, and 3) the images used in the published website and its associated frontend form and functionality.

This license strictly excludes the intellectual property relating to the backend production of the website, including but not limited to digital strategies, programming source codes, database structures, scripts, backend forms, or proprietary functionalities.

3. General Approach

All communications and correspondences are generally conducted via email. It is the client’s sole responsibility to keep GoForFlex updated with their current and relevant email addresses.
For general website design and development projects, our workflow proceeds as follows:

  • Design Mock-up:
    Once we receive all brand assets (such as logos, images, branding materials, etc.), we will deliver a design mock-up for your review within 5 to 10 working days.
  • Revisions:
    You may review the design and suggest improvements. Depending on your specific project scope, up to 2 or 3 design modifications are generally included within the initial estimate. Please refer to your allocated design and development hours for exact details.
  • Content Migration:
    Depending upon the time and resources allocated to your project, we will transfer as much content as possible from your legacy website to the new website. Any remaining content must be transferred via the CMS by your designated staff. We will provide the necessary instructions to assist you with this process.
  • Review & Handover:
    Once the site is ready from our end, we will hand it over to you for further review, testing, and/or to upload and modify content as necessary.
    Go-Live Approval: At this stage, you must provide GoForFlex with a formal Go-Live date to launch the new website or project.

Your website will be launched within 3 to 5 working days following formal Go-Live approval, provided that all accounts and balances are clear. Please note that full payment is strictly required prior to transferring or deploying the website onto any external servers.

Generally speaking, excessive back-and-forth communication delays project timelines. We strongly encourage you to provide all necessary details at the start of the project to ensure that the project team’s time is efficiently utilized and that you do not incur unnecessary additional development costs.

You will be kept updated via email and/or telephone/video calls as the project demands. However, please do not hesitate to contact us at any time if you require a project status update. Always ensure your contact details remain up to date.

Once the website or application has been launched live on the client’s domain, it becomes the client’s sole responsibility to perform regular full backups and to update all core components, plugins, and third-party software.

We pride ourselves on being flexible and adaptable, approaching all requests with a “can-do” attitude. If you require changes, please feel free to discuss them with us.

4. Annual Maintenance Package

All maintenance packages are bound to a minimum commitment period of 12 months, up to a maximum of 24 months.

Minor changes included in the package should not exceed 2 hours per year. If the requested changes or improvements exceed this maintenance allocation time, GoForFlex will track and log the time spent using the Toggl tracking tool (toggl.com). Any additional time spent beyond the allocated maintenance limit will be invoiced separately at a rate of 180 EUR/hour (Excluding 21% Dutch VAT).

Maintenance hours cannot be applied to large-scale projects such as full website redesigns or major new functionality add-ons.

Note: Emergency interventions are not included in the standard maintenance allowance. While GoForFlex will deploy all necessary efforts to resolve critical site failures swiftly, these emergency interventions will be billed separately at our standard hourly rate unless agreed otherwise in writing.

Maintenance packages are billed either annually or for the full duration of the committed years. Payments are due in full within 15 days from the invoice issuance date. Packages may include 12 months of basic website hosting, email hosting, and DNS hosting. These packages are strictly designed to cover website maintenance tasks only.

Maintenance packages do not include any of the following professional services:

  • Digital Strategy
  • Business Analysis
  • Solution Architecture
  • Search Engine Optimization (SEO) & Digital Marketing work

5. Web Hosting

Web Hosting is an annual recurring charge included in specific maintenance packages; therefore, all renewals must be paid in full by the explicit expiry date for the entire upcoming year. GoForFlex will issue and send your renewal invoice at least 15 days prior to the expiration date.

Web Hosting services are provisioned on shared or non-shared servers managed via third-party infrastructure providers. GoForFlex ensures to the best of its technical ability that our systems and servers are protected from hackers, viruses, intruders, and other online security threats. However, GoForFlex shall not be held liable for any service disruptions, data loss, or server downtimes caused by these third-party environments.

The Client remains solely responsible for all content stored on and served by the hosting service purchased, as well as the activity of any scripts or email services created under their hosting account. The Customer must maintain strict security over all account passwords and applications, ensuring all scripts running under the hosting service are completely free from malicious content that could harm the server, other hosted client accounts, or external visitors.

6. Termination

In the event that the Client needs to cancel the maintenance services, the Client must inform GoForFlex in writing via email at least one month prior to the contract renewal date. Additionally, the Client must ensure they are capable of migrating their site to another provider or downloading the final complete backup files of their website. It is also the client’s sole responsibility to purchase and maintain any required premium software or plugin licenses installed on their site after handover.

Ongoing Term Commitment: If the Client decides to terminate an active, ongoing maintenance package before the end of the committed period for any reason, they shall remain legally liable to pay the remaining balance of the unfulfilled months in full.

GoForFlex reserves the right to terminate any annual maintenance agreement at any time by providing written notice to the Client.
